1. Overview

This Billing & Subscription Policy outlines the financial terms, renewal structures, cancellation rules, and payment mechanics for technical solutions provided by CK Catalyst.

By subscribing to, provisioning, or purchasing any of our specialized Business Cells™ (including Hybrid Cells™, Ops Cells™, Automation Cells™, Data Cells™, AI Cells™, or Dev Cells™) or deploying our MVP-to-Scale Framework, you agree to the conditions stated below. This document is a core component of our master Terms of Service.

2. Subscription & Engagement Models

We offer predictable, scalable infrastructure pricing divided into distinct modern operational models:

  • Monthly Subscriptions: Recurring, auto-renewing access tiers granting ongoing runtime, maintenance, and allocation of specialized Business Cells™.
  • Fixed-Scope Projects: Milestone-based billing constructed for specific development sprints, structural system builds, or initial framework deployments.
  • Hybrid Engagements: Integrated arrangements combining active subscription infrastructure with customized, one-time engineering components.
  • Usage & Volume Overages: Additional charges that apply if your processing volume, active data records, or workflow counts exceed the baseline limits defined in your specific statement of work.

3. Payment Terms & Execution

To maintain balanced system operations, engineering availability, and staff scheduling:

  • Invoices are due immediately upon receipt unless alternative terms are specified in your agreement.
  • Recurring monthly subscriptions are processed at the launch of your specific billing or deployment cycle.
  • Fixed-scope project milestones are invoiced upon deliverable approval or via an agreed-upon technical milestone calendar schedule.
  • Production deployment and ongoing system execution within your Business Cells™ will only occur or continue while account balances are fully cleared.

We accept all major credit cards and secure electronic bank transfers through our verified billing portal.

4. Auto-Renewal & Workflow Continuity

All subscription tiers auto-renew seamlessly on their scheduled monthly or annual anchor dates. This automation ensures:

  • Uninterrupted execution of your production webhooks, API bridges, and live database routines.
  • Stable cloud performance and immediate troubleshooting response times across active data layers.
  • Consistent, dedicated resource scheduling for your back-office administrative Ops Cells™ and blended environments.
  • Active preservation against version drift as external third-party software tools evolve.

Clients are responsible for monitoring and altering their billing preferences prior to their upcoming renewal date.

5. Third-Party Platform & API Costs

Unless explicitly wrapped into a custom, managed enterprise contract:

  • Licensing & Tool Fees: The client is directly responsible for all subscription costs, usage limits, and licensing fees associated with third-party platforms used in their workflows (e.g., n8n, Supabase, Zapier, Make.com, HubSpot, or OpenAI).
  • Consumption Surges: Any financial overages generated by third-party consumption loops, sudden volume increases, or vendor API price updates are the sole responsibility of the client.

6. Scope Deviations & Structural Maintenance

Additional engineering or structural setup fees will be quoted and processed when:

  • Extra workflow modules, secondary CRM systems, or brand-new automation paths are requested outside the original cell blueprints.
  • Your internal team makes manual alterations to live workflows or schemas that require emergency debugging.
  • An external platform (e.g., a CRM or database vendor) deprecates an API, requiring workflow architectural rebuilds to restore system balance.

All out-of-scope adjustments will be mutually reviewed and approved before any new charges are incurred.

7. Late Payments & Safety Notices

If an invoice is not settled within 5 business days of its due date:

  • A late administration interest penalty of 2% per month may be applied to the open balance.
  • CK Catalyst reserves the right to pause active development, freeze milestone queues, or temporarily pause live automation triggers within your deployed cells.
  • Safety Window: To protect your operational continuity, we will supply a 48-hour written warning notice to your primary account contact before execution infrastructure is temporarily paused for non-payment.

8. Failed Payments & Chargebacks

If an automated renewal payment fails, our billing engine will re-attempt processing over a standard grace window. If an account is explicitly abandoned or if a groundless credit card chargeback is initiated for active, completed engineering solutions:

  • All managed workflow connections and pipeline integrations will be deactivated instantly.
  • Access credentials held within our secure project vaults may be severed.
  • Restoring your operational profiles will require the total settlement of outstanding costs plus an administrative account reactivation fee.

9. Strictly Non-Refundable Terms

Due to the immediate commitment of technical architects, engineering labor, and custom development hours:

  • All payments are strictly non-refundable once a subscription cycle begins, a milestone sprint initiates, or infrastructure setup commences.
  • Refunds do not apply to partially used monthly billing terms, completed automations, custom data schema layouts, or reserved engineering capacity hours.
  • Refunds are evaluated exclusively if a payment was processed in error before any framework setups or engineering resources were allocated to your account workspace.

10. Cancellation Protocol & Offboarding

Clients can safely cancel their recurring plans at any time by issuing a written request through our validated support channels:

  • Monthly Plans: Cancellations apply directly to the upcoming billing cycle. No partial-month credits or pro-rated refunds are issued.
  • Annual Plans: Early cancellations stop future renewals but are non-refundable for the remaining active months of the current term.

Upon cancellation, the client is responsible for offboarding their environments, changing shared root passwords, and saving independent copies of their data structures as outlined in our Privacy Policy.

11. Account Reinstatement

If you choose to reactivate a cancelled subscription or deployment engagement at a future date:

  • Historic system states, live webhooks, and deep operational contexts may not be actively preserved in our code repositories.
  • A standard environment onboarding and framework initialization fee may apply.
  • Re-activation is contingent upon the current resource and capacity availability of our Business Cells™.

12. Billing Inquiries & Disputes

If you identify an error, redundancy, or variance on an invoice, contact us immediately. Please submit your documentation to our billing portal. We promise to review the ledger details comprehensively and address all valid adjustments within 10 business days.
